Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Etairia Global Ltd ("Company", "we", "us") governing your access to and use of the FinTrack mobile application, our website at https://etairiaglobal.com, and all related services (collectively, the "Service").

By creating an account, clicking "I agree", or otherwise using the Service, you accept these Terms in full. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

FinTrack is a mobile financial management application designed to help small and medium-sized enterprises (SMEs) and business owners:

• Record and organise income and expense transactions
• Generate financial statements including profit & loss accounts, balance sheets, and cash flow statements
• Calculate estimated tax liabilities
• Produce bank-ready financial reports and documents
• Maintain an audit trail of business transactions

Important: FinTrack is a financial record-keeping and reporting tool. It does not constitute professional accounting, tax, or financial advice. The outputs generated by the app should be reviewed by a qualified professional before being used for official purposes.

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under the laws of Nigeria or any other applicable jurisdiction
• Provide accurate and truthful information during registration

The Service is designed for use by business owners, traders, and professionals. Use by or on behalf of children is not permitted.

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your password secure and confidential
• Be solely responsible for all activity that occurs under your account
• Notify us immediately at info@etairiaglobal.com if you become aware of any unauthorised use of your account

You may not share your account credentials with others or create accounts on behalf of someone else without their explicit authorisation. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service for any illegal purpose or in violation of applicable laws or regulations
• Enter false, misleading, or fraudulent financial data
• Use the Service to facilitate money laundering, tax evasion, or financial fraud
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the app
• Transmit malware, viruses, or any code of a destructive nature
• Scrape, harvest, or collect data from the Service without our written consent
• Resell, sublicense, or commercially exploit the Service without our express permission
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service

Violation of these restrictions may result in immediate termination of your account without notice.

The Service and all its original content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and user interface design — are and remain the exclusive property of Etairia Global Ltd and are protected by Nigerian and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the FinTrack app on your personal devices solely for your own business purposes.

You retain full ownership of all financial data you input into the Service. We claim no intellectual property rights over your data.

You own all financial data, transaction records, and other content you enter into FinTrack. By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.

• We will never sell your financial data to third parties
• We will not use your individual financial data for advertising
• You can export your data at any time in a standard format
• Upon account deletion, your data will be deleted per our retention policy (see Privacy Policy)

Disclaimer: You are responsible for the accuracy of all data you enter. Etairia Global Ltd does not verify the accuracy of your financial inputs and is not liable for errors in reports generated from inaccurate data.

FinTrack offers a free tier and may offer paid subscription plans with additional features. Where paid plans are offered:

• Billing: Subscriptions are billed in advance on a monthly or annual basis.
• Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
• Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
• Price changes: We will give at least 30 days' notice of any price changes before your next renewal date.
• Refunds: Payments are non-refundable except where required by law or at our sole discretion.
• Taxes: You are responsible for all applicable taxes on your subscription.

Pricing details, plan features, and payment terms are set out within the app and on our website. We reserve the right to modify, suspend, or discontinue any paid plan with reasonable notice.

To the fullest extent permitted by applicable law, Etairia Global Ltd expressly disclaims:

• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, error-free, or completely secure
• That financial reports generated by the app constitute professional accounting or tax advice
• That the app will meet the specific requirements of any particular bank, lender, or regulatory authority
• The accuracy or completeness of any information generated from data you input

You should always consult a qualified accountant or financial advisor before making financial or business decisions based on information from the Service.

To the maximum extent permitted by applicable law, Etairia Global Ltd, its directors, employees, partners, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profit, revenue, data, business, or goodwill
• Losses arising from your reliance on any financial reports or data generated by the app
• Unauthorised access to your data caused by your own failure to secure your credentials
• Temporary unavailability or errors in the Service

In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or ₦10,000 (whichever is greater).

You agree to defend, indemnify, and hold harmless Etairia Global Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any inaccurate data you input into the Service
• Your violation of any applicable laws or regulations

Either party may terminate the user relationship at any time:

• By you: You may delete your account at any time via the app settings or by contacting us.
• By us: We may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

Upon termination:

• Your right to access and use the Service ceases immediately
• We will handle your data in accordance with our Privacy Policy and applicable law
• Provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, disclaimers, and limitation of liability

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria. If a dispute cannot be resolved through the courts, both parties agree to attempt resolution through good-faith negotiation or mediation before resorting to litigation.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send you an in-app notification or email at least 14 days before the changes take effect
• For material changes, ask you to review and re-accept the new Terms before continuing to use the Service

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
